1. Acceptance of Terms
By accessing or using OpenAstrix ("the Service"), operated by OpenAstrix ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
OpenAstrix is a cloud-based platform that allows users to create AI-powered assistants and agent teams for business process automation. The Service includes agent creation, channel integrations (WhatsApp, email, web chat), knowledge base management, scheduled tasks, and related features.
3. Accounts
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
4. Subscription Plans and Billing
The Service offers free and paid subscription plans. Paid plans are billed monthly. Prices are in USD and may be subject to change with 30 days' notice. Payments are processed through Stripe. You authorize us to charge your payment method for recurring subscription fees. Overage charges, if applicable, will be billed at the end of each billing cycle based on your plan's overage rate.
5. Free Plan
The free plan is subject to usage limits including daily and monthly interaction caps. We reserve the right to modify free plan limits at any time. Free plan accounts inactive for 90 days may be deleted.
6. Cancellation and Refunds
You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months. After cancellation, your account will revert to the free plan.
7. Acceptable Use
You agree not to: (a) use the Service for illegal purposes; (b) send spam or unsolicited messages through the platform; (c) impersonate others; (d) attempt to gain unauthorized access to other accounts or systems; (e) use the Service to harass, abuse, or harm others; (f) violate any applicable laws or regulations including data protection laws.
8. AI-Generated Content
Responses generated by AI assistants are produced by third-party AI models. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are responsible for reviewing and validating all AI outputs before acting on them. AI assistants should not be used as a substitute for professional advice (medical, legal, financial).
9. Data and Content
You retain ownership of all content you upload to the Service (documents, prompts, configurations). You grant us a limited license to process this content solely for the purpose of providing the Service. We do not use your data to train AI models.
10. Third-Party Services
The Service integrates with third-party services (WhatsApp, Stripe, email providers, AI models). Your use of these integrations is subject to their respective terms of service. We are not responsible for the availability or performance of third-party services.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our control.
12. Limitation of Liability
To the maximum extent permitted by law, OpenAstrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
13. Indemnification
You agree to indemnify and hold harmless OpenAstrix from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Modifications
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
15. Termination
We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your data 30 days after account termination.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OpenAstrix operates, without regard to conflict of law provisions.
